Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PnLStack mobile application and related services (collectively, "the Service"), operated by Ghanshyam Patel ("we", "us", or "PnLStack"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Account Registration

To use most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account.
• Notify us promptly of any unauthorized use of your account.
• Be responsible for all activity that occurs under your account.

We are not liable for any loss or damage arising from your failure to comply with these obligations.

3. The Service Is a Journaling Tool

PnLStack is a manual trading journal. It is NOT:

• A brokerage, broker-dealer, or financial institution.
• A tool that places trades or executes orders.
• A source of investment advice, financial advice, or trading recommendations.
• A real-time market data provider.
• A tax advisory or accounting service.

You are solely responsible for your trading decisions, your tax obligations, and the accuracy of the information you log. The statistics and visualizations provided by the App are based entirely on data you input and may contain errors. Always verify your records against your brokerage statements.

4. No Investment Advice

Nothing in the Service constitutes investment advice, financial advice, trading advice, or any other type of advice. The information provided by the Service is for informational and journaling purposes only. You should consult with a qualified financial advisor before making any investment decisions. Trading involves substantial risk, including the potential loss of all invested capital.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our servers or networks.
• Reverse engineer, decompile, or disassemble the App except as permitted by law.
• Use the Service to transmit viruses, malware, or other malicious code.
• Interfere with or disrupt the integrity or performance of the Service.
• Use automated means (bots, scrapers) to access the Service without our written permission.
• Resell, sublicense, or redistribute the Service without our written permission.
• Use the Service to harass, abuse, or harm another person.
• Impersonate another person or entity.

6. User Content

You retain all ownership rights to the data you input into the Service ("Your Content"), including trade records and journal notes. By using the Service, you grant us a limited, non-exclusive, worldwide license to store, process, and display Your Content solely for the purpose of providing the Service to you. We do not claim ownership of Your Content and will not use it for advertising, training AI models, or other purposes without your explicit consent.

You are solely responsible for the legality, accuracy, and appropriateness of Your Content. You represent that you have all necessary rights to the content you submit.

7. Intellectual Property

The Service, including its design, code, branding, logos, and content (excluding Your Content), is the property of PnLStack and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

8. Pricing and Payments

The basic features of the Service are currently free of charge. We may, in the future, offer premium features through in-app purchases or subscriptions. If introduced:

• Pricing will be clearly disclosed before purchase.
• Purchases are processed by Apple's App Store; refunds are subject to Apple's refund policy.
• Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period.
• You can manage and cancel subscriptions in your iPhone's Settings → Apple ID → Subscriptions.

9. Service Availability

We strive to keep the Service available 24/7 but do not guarantee uninterrupted access. The Service may be unavailable from time to time due to maintenance, updates, or factors beyond our control (such as outages affecting our service providers). We are not liable for any losses arising from Service unavailability.

10. Modifications to the Service

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation. We will provide reasonable notice of significant changes when feasible.

11. Termination

You may stop using the Service and delete your account at any time through the App's Settings screen.

We may suspend or terminate your account at any time if:

• You violate these Terms.
• We are required to do so by law.
• We discontinue the Service (with reasonable advance notice).

Upon termination, your right to use the Service ends immediately. Provisions of these Terms that by their nature should survive termination (such as ownership, disclaimers, indemnity, and limitations of liability) will survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, secure, or error-free.
• Defects will be corrected.
• The Service is free of viruses or harmful components.
• Any information obtained through the Service will be accurate or reliable.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PNLSTACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless PnLStack and its operators from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Your Content.

15. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Ontario, Canada, and you consent to the exclusive jurisdiction of those courts.

16. Apple-Specific Terms

If you downloaded the App from Apple's App Store, the following additional terms apply:

• These Terms are between you and PnLStack only — not with Apple.
• Apple has no responsibility for the App or its content.
• Apple is not responsible for providing maintenance or support for the App.
• If the App fails to conform to any applicable warranty, you may notify Apple, who will refund the purchase price (if any). Apple has no other warranty obligations.
• Apple is not responsible for addressing claims relating to the App, including product liability, legal/regulatory claims, or consumer protection claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

17. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted at pnlstack.com/terms.html. If a revision is material, we will notify you by email or through the App. Your continued use of the Service after changes take effect constitutes acceptance.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PnLStack regarding the Service and supersede all prior agreements.
