1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and PnLStack ("we," "us," or "our") governing your access to and use of the PnLStack trading journal platform, including the web application at pnlstack.com and the PnLStack iOS mobile application (collectively, the "Service").

By creating an account or using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

PnLStack is a trading journal and performance analytics platform designed to help traders track, analyse, and improve their trading activity. The Service includes:

• Trade logging and management tools
• Performance analytics and reporting dashboards
• Daily trading journal and mood tracking
• AI-powered performance insights
• Cloud synchronisation across devices

PnLStack is a journaling and analytics tool only. We do not provide brokerage services, investment advice, financial planning, or execute trades on your behalf.

3. Not Financial Advice

The information, analytics, and insights provided by PnLStack — including any AI-generated insights — are for informational and educational purposes only. Nothing on PnLStack constitutes financial, investment, tax, or legal advice. Past performance data displayed in your journal does not guarantee future trading results.

You are solely responsible for your own trading decisions. Always conduct your own due diligence and consult a qualified financial professional before making investment decisions.

4. Account Registration

To access cloud sync and cross-device features, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@pnlstack.com if you suspect unauthorised access.

You may not share your account with others or create accounts for the purpose of misusing the Service.

5. Subscription and Billing

PnLStack offers both a base tier and paid subscription plans. Paid plans are billed on a monthly or annual basis as selected at checkout. All fees are non-refundable except as required by applicable law.

We reserve the right to modify our pricing with reasonable notice. Continued use of a paid plan after a price change constitutes acceptance of the new pricing.

6. Your Data

You retain ownership of all trade data, journal entries, and personal information you submit to PnLStack. We process your data solely to provide and improve the Service, as described in our Privacy Policy. We do not sell your data to third parties.

7. Prohibited Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Attempt to gain unauthorised access to any part of the Service or other users' accounts
• Reverse engineer, decompile, or attempt to extract the source code of our software
• Use automated tools to scrape, copy, or extract data from the Service
• Transmit malware, spam, or harmful code through the Service
• Impersonate any person or entity

8. Intellectual Property

All intellectual property in the Service — including the software, design, analytics algorithms, and AI coaching systems — is owned by PnLStack or its licensors. Nothing in these Terms grants you a right to use our trademarks, logos, or branding without prior written consent.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, PnLStack and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including trading losses — arising from your use of the Service, even if we have been advised of the possibility of such damages.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be resolved in the courts of Ontario, Canada.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via the Service. Your continued use after the effective date of changes constitutes acceptance of the updated Terms.
